1 STATEMENT OF WORK (SOW Annual Service Maintenance Contract for BD LSRFortessa Serial # H5B200003 1.0 BACKGROUND The Developmental Therapeutics Branch (DTB) focuses on the discovery and the molecular pharmacology of novel anticancer, antimicrobial and antiviral targets such as human tyrosyl phosphodiesterase 1 and 2, Topoisomerase I, II, and III, as well as prokaryotic exonuclease VII. The DTB uses the LSR Fortessa for lab operations because this instrument allows quantitative analysis of cell cycle, DNA replication timing, DNA replication perturbation as well as to measure the effects of anti-cancer drugs in cancer cells. The high throughput platform will facilitate analysis of DNA/RNA levels, protein expression or protein modifications among other things. Maintenance of the system is essential because cell cycle studies are important part of the research for the DNA replication group of the DTB. 1.1 OBJECTIVE The primary objective of this project is to have BD biosciences perform annual maintenance for our LSRFortessa instrument (Decal# 01825187, Serial # H5B200003) in order to have this instrument maintained operational at all times as it is essential for routine research of several groups because this instrument allows quantitative analysis of cell cycle, DNA replication perturbation as well as to measure the effects of anti-cancer drugs and/or gene expression in cancer cells. The instrument also allows the analysis of DNA/RNA levels, protein expression or protein modifications among others. 2.0 SCOPE The Contractor shall provide all labor, material and equipment necessary to maintain and provide preventive maintenance of the government owned LSR Fortessa Cell Analyzer. Coverage should include the BD LSRFortessa with three lasers (Blue, Red and Ultraviolet) and one FACStation (excluding printers) for labor, travel expenses and parts. which provides routine analysis needed in the laboratory. All maintenance services should be performed in accordance with the manufacturer’s standard maintenance practices. The contractor shall perform: - Two (2) Preventive Maintenance Inspections will be performed during a twelve month period, including 2 PM Kits. - Software revisions if needed during the agreement term. - Unlimited service visits, Monday through Friday between the hours of 9 am and 5 pm, excluding BD Biosciences and Federal holidays. - 48-hour guaranteed response to a request for an emergency on-site service (Monday through Friday, excluding BD Biosciences holidays). If BD Biosciences fails to meet this commitment, a $500.00 response time credit may be issued. - Unlimited telephone support for instruments, reagents and applications will be provided at no additional charge -- 1 of 2 -- 2 3.0 CONTRACT REQUIREMENTS/ AND PERSONNEL QUALIFICATIONS BD Biosciences agrees to send a Field Service Representative (a "Representative") to perform (a) the of preventive maintenance inspections indicated above or (b) perform repairs as described in the quote. The Contractor shall perform planned preventive maintenance (PM) inspections during the contract period. PMs shall be performed by technically qualified factory-trained personnel. The Representative must be given full and free access to the INSTRUMENT(s). In addition, BD Biosciences may through an authorized service provider, provide service on components and software manufactured by third parties in accordance with the warranty of such third party manufacturer. It is the responsibility of BUYER to register all third party products and software with the third party for purposes of warranty and end user license. BD BIOSCIENCES does not provide on computer workstation printers. BD Biosciences may repair or replace any INSTRUMENT(s) at its discretion in satisfaction of its obligations hereunder. B. Preventive Maintenance Inspections: During each preventive maintenance visit the Representative will evaluate INSTRUMENT(s) performance and provide a preventative maintenance kit (if applicable) for use by BD Biosciences' Representative. Calibrations, alignments, lubrication and part replacement will be performed as deemed necessary by BD Biosciences to maintain the INSTRUMENT(s) operation substantially in accordance with the published technical specifications for the INSTRUMENT. C. Parts: BD Biosciences will provide all parts required to affect a repair as explained in the quote, all defective parts must be returned to BD Biosciences. All maintenance services shall be performed on-site in accordance with the Original Equipment Manufacturers (OEM) most current standard commercial maintenance practices. 4.0 TYPE OF ORDER This is a firm fixed price purchase order. 5.0 PERIOD OF PERFORMANCE The period of performance shall be for on year: August 1, 2026 to July 31st , 2027 6.0 PLACE OF PERFORMANCE NIH NCI LMP Attn: Haiqing Fu 9000 Rockville Pike, Bldg 37 Room 5037 Bethesda, Maryland 20892 7.0 PAYMENT Payment shall be made Quarterly in Arrears.
